Exclusive
1. General & definitions

At ArtistConnect, the "sale or purchase of a beat/kit" means the sale or purchase of the rights to use and process the beat/kit, which are transferred to you after the purchase of the beat/kit. The rights differ with regard to the license selected by the seller (Unlimited, Limited, Exclusive).

By the term "production" we mean a project, song or similar in which the purchased beat/kit was used by the buyer.

This Agreement constitutes the license agreement between the seller (hereinafter: "producer", "licensor", "seller") and the buyer (hereinafter: "artist", "licensee", "buyer").

2. Rights to the beat/kit and provision of the beat/kit.

When purchasing an "Exclusive" license, the buyer purchases (and transfers to the buyer) an exclusive right to use and process the beat/kit commercially. The licensor is bound to the exclusivity and is not allowed to sell the beat/kit again on the ArtistConnect website or via other websites or distribution channels.

The producer has to abide by several restrictions and (technical) requirements when transferring the right to use and process a beat/kit to a buyer and providing the music files to the buyer. Therefore the licensor is not responsible for the technical equipment of the licensee. It is explicitly excluded the liability of the licensor, if the uniformly provided file format or the provided files are not compatible with the technology of the licensee.

The licensor must provide the beat/kit and all associated files in WAV format. The sound quality of the files must at least meet the ordinary market standard and no watermarks (with the exception of producer tag, the use of which, however, must be mandatorily specified by the seller during the beat upload process) may be placed on the beat/kit. After purchasing a beat, the licensee will receive it in file formats MP3, WAV as well as the single tracks in WAV format. Kits contain only files in WAV format.

The seller agrees to provide correct information about the beat/kit (e.g. the BPM (beats per minute), hip hop style, instruments and the key).
Typically, the beat/kit can be used for music productions, advertising and uploads on Youtube, Spotify, iTunes or similar streaming services as well as in comparable forms.

3. Reproduction, distribution and prohibitions

Artists may sell, market or in a similar way commercially exploit the productions in which the acquired beat/kit has been used. We refer to the fact that the artist is consequently also entitled to reproduce the production on (digital) data carriers such as CD's or similar in order to be able to distribute them. In addition, Artists may perform with the Production at concerts, festivals, in clubs, on television and at similar events. The artist has the sole disposal and decision-making power over when, where and how the production is to be released.

It is expressly forbidden to resell the unmodified beat/kit or beat/kit that has been maliciously little modified by the buyer. Likewise, it is not possible to give or distribute the beat/kit to a third party.

In the event that one of the contracting parties is responsible for a breach of duty that is unreasonable for the breached contracting party to accept if the contract continues to exist, the contract may be terminated.

4. References

Producers are allowed to use the production as a reference. This means that explicit reference may be made to the creation of the beat/kit of the Production and the Producer may use it for self-marketing, the cover of the Production or similar on the Producer's own distribution channels (including the Producer's website, the Producer's Instagram channel) for promotional purposes.

5. Final provisions

The legal system of the Federal Republic of Germany shall apply to this contract. In the event that damages arise from the distribution and marketing of the production, the liability of the seller is expressly excluded. In addition, the seller bears no responsibility for productions that are not in accordance with the law of the Federal Republic of Germany.

Should individual provisions of this contract be invalid or unenforceable or become invalid or unenforceable after conclusion of the contract, this shall not affect the validity of the remainder of the contract. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision whose effects most closely approximate the economic objective pursued by the contracting parties with the invalid or unenforceable provision. The above provisions shall apply accordingly in the event that the contract proves to be incomplete.

Limited

The licensor is bound to this maximum number and may not sell the beat/kit beyond this number on the ArtistConnect website or via other websites or distribution channels.

When purchasing the beat, the licensee chooses the quality in which he/she would like to receive the beat. Here, a distinction is made between three selectable qualities:

  1. MP3
  2. MP3 and WAV
  3. MP3 and WAV and single tracks in WAV format

After purchase, the licensee is provided exclusively with the quality he has chosen.
